QuaerisAI, Inc. Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the QuaerisAI Platform (“Platform”), including any associated services, software, and documentation, provided by QuaerisAI, Inc. (“QuaerisAI,” “Provider,” or “QAI”). By accessing or using the Platform, you agree to be bound by these Terms. 

These Terms incorporate by reference the QuaerisAI Data Processing Addendum (“DPA”), which sets forth the rights and obligations regarding the processing of Customer data. By executing an Order Form or subscribing to the Platform, you agree to be bound by the DPA without the need for a separate signature. 

 
  1. Acceptance of Terms

By using the Platform, you confirm that you have read, understood, and agree to these Terms and the DPA. If you do not agree, you must not access or use the Platform. QuaerisAI reserves the right to modify these Terms at any time. Continued use following any modifications constitutes acceptance of the updated Terms. 

 

  1. Eligibility

You must be authorized by QuaerisAI as a user or representative of an authorized Customer organization. By accessing or using the Platform, you represent and warrant that you meet all eligibility requirements. 

 

  1. Account Registration

Access to the Platform may require account creation. You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your account. 

 

  1. Subscription Plans and Payment
    • The Platform is offered under various subscription plans, including trial, free, and paid tiers. 
    • By subscribing to a paid plan, you agree to pay the fees indicated in your Order Form. All fees are non-refundable and non-transferable. 
    • QuaerisAI may adjust pricing for future periods with notice, consistent with the terms of the Order Form. 

  1. Data Processing and Security
    • Customer data is processed in accordance with the DPA, incorporated herein by reference. 
    • QuaerisAI executes queries directly in Customer systems; as a consequence, level zero data is not copied or persisted outside the Customer environment, except transiently as needed. 
    • Security measures include role-based access, Persona-based functionality, granular dimension- and document-level access control, and source validation. 
    • API access and integrations are subject to Customer permissions and the DPA.

  1. Third-Party Integrations

The Platform may integrate with third-party services, including enterprise applications and external AI/LLM providers (e.g., Microsoft/OpenAI, Google/PaLM, Meta/LLaMA). Use of third-party services is subject to their respective terms of service and privacy policies. QuaerisAI is not responsible for the content, security, or availability of these services. 

 

  1. User-Generated Content
    • Users may submit prompts or data to generate results within the Platform. You are solely responsible for the content you submit. 
    • You must not submit content that is unlawful, defamatory, infringing, or otherwise violates applicable law or third-party rights. 

  1. Data Retention and Egress
    • At contract termination, QuaerisAI will retain data securely for up to 31 days unless otherwise requested. 
    • Costs for long-term storage or data export beyond 31 days are the Customer’s responsibility. 
    • Data includes configurations, queries, query results, collaboration messages, PinBoards, Stories/Storybooks, and associated user data.  

  1. Publicity

By using the Platform, you agree that QuaerisAI may reference your organization in marketing materials or invite participation in case studies, events, or webinars. You may decline such invitations at your discretion. 

 

  10. Intellectual Property

All intellectual property rights in the Platform, including copyrights, trademarks, and trade secrets, are owned by QuaerisAI or its licensors. You may not reproduce, distribute, or create derivative works without express written permission. 

 

  1. Disclaimer of Warranties
    • The Platform, including generated SQL or analytics outputs, is provided “as is”. 
    • While designed for high accuracy, outputs may contain errors, inconsistencies, or omissions. 
    • QuaerisAI disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose. 

  1. Limitation of Liability
    • To the maximum extent permitted by law, QuaerisAI and its affiliates, licensors, and suppliers are not liable for any indirect, incidental, consequential, or punitive damages arising from the use of the Platform. 
    • Any financial liability shall not exceed the total fees paid by the Customer to QuaerisAI in the 12 months preceding the claim. 

  1. Indemnification

You agree to indemnify, defend, and hold harmless QuaerisAI and its affiliates from claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of third-party rights. 

 

  1. Governing Law and Jurisdiction

These Terms, including the DPA, are governed by the laws of the jurisdiction in which QuaerisAI is incorporated. Disputes will be resolved exclusively in the courts of that jurisdiction. 

 

  1. Termination
    • QuaerisAI may suspend or terminate access to the Platform for violations of these Terms, applicable laws, or other reasons. 
    • Termination does not relieve the Customer of obligations accrued prior to termination, including payment obligations. 

  1. Changes to Terms

QuaerisAI may update these Terms at any time. Material changes will be communicated via the Platform or website. Continued use constitutes acceptance of updated Terms.
